Services
Good Comms provides strategic communication consultancy, facilitation, and advisory services across three practice areas: Belonging, Bridging, and Better World. The specific scope of work for each engagement is set out in the proposal or statement of work agreed between us.
Any changes to scope must be agreed in writing before additional work begins. Work that falls outside the original scope will be quoted and invoiced separately.
Proposals and agreements
Proposals are valid for 30 days from the date of issue. Acceptance is confirmed by written sign-off, email confirmation, or payment of a deposit – whichever comes first.
Good Comms reserves the right to withdraw a proposal before acceptance, for instance if availability has changed or circumstances have shifted.
Fees and payment
Fees are set out in each proposal. Unless stated otherwise:
- Project work: 25% due upon agreement, 50% upon delivery, 25% at the end of the engagement.
- Retainers: invoiced monthly in advance, due within 30 days of the invoice date.
- Workshops and standalone sessions: invoiced in full upon booking, payment due before the session date.
Invoices are payable within 30 days unless otherwise agreed in writing. Late payment may result in work being paused until the account is settled. Good Comms reserves the right to charge statutory interest on overdue amounts in accordance with Dutch law.
All fees are exclusive of VAT, which will be added where applicable.
Expenses
Reasonable and agreed expenses – including travel, accommodation, materials, and venue costs – are charged at cost and invoiced alongside the relevant project phase. Where expenses are expected to be significant, they will be flagged in the proposal or agreed in advance.
Cancellation and postponement
Cancellations or postponements must be made in writing. The following applies to workshops, sessions, and project work:
- More than 30 days’ notice: no cancellation fee; a deposit may be retained to cover preparatory work already completed.
- 7–30 days’ notice: 50% of the total fee is due.
- Less than 7 days’ notice: 100% of the fee is due.
For retainers, either party may end the arrangement with 30 days’ written notice after the minimum commitment period.
Intellectual property
Good Comms retains intellectual property rights over all methodologies, frameworks, tools, and original materials developed in the course of our work. These include proprietary frameworks such as ALLIES, BELONG, CARE, HASH, HEAR/STEM, HEAT, QUINT, and the 4 C’s/V’s of facilitation and narrative design.
Upon full payment, clients receive a non-exclusive licence to use any deliverables created specifically for them – for internal use within the organisation, for the duration of the client relationship. Deliverables may not be sold, licensed, or shared externally without prior written agreement.
LEGO® Serious Play® is a registered trademark of the LEGO Group. Its use in facilitation sessions is covered by Good Comms’ certification and does not transfer to the client.
Confidentiality
Good Comms treats all client information as confidential and will not share it with third parties without consent, except where legally required.
Clients agree to treat any proprietary materials, frameworks, or methodologies shared during the engagement as confidential and not for use or distribution outside the organisation without written agreement.
This obligation continues after the engagement ends.
Data and privacy
Good Comms processes personal data in accordance with the General Data Protection Regulation (GDPR) and the Dutch AVG. Data collected through proposals, invoices, and client relationships is used solely for the purposes of the engagement and will not be shared with third parties without consent.
For questions about how your data is handled, read our Privacy policy here or contact chared@goodcomms.nl.
Liability
Good Comms will deliver services with reasonable care, skill, and professional diligence. However, Good Comms does not guarantee specific outcomes – organisational change depends on many factors beyond the consultant’s control.
Good Comms’ liability is limited to the total fees paid for the specific engagement in which an issue arose. Good Comms is not liable for indirect or consequential loss, including loss of revenue, reputation, or opportunity.
Force majeure
Good Comms is not liable for delays or non-performance caused by circumstances beyond our reasonable control. These include illness, technical failure, or events that make performance impossible or impractical. In such cases, we will notify the client promptly and agree on an alternative arrangement.
Governing law
These terms are governed by Dutch law. Any disputes will be submitted to the competent court in the Netherlands.
Changes to these terms
Good Comms may update these terms from time to time. The version in effect at the time of a proposal or agreement applies to that engagement. Any material changes will be communicated in advance.
